Pnyx Governance Charter

Article I — Name and Purpose
Section 1.1 — This body is named the Pnyx, the cooperative deliberation and governance space of the Liana Banyan Platform.
Section 1.2 — The Pnyx exists to give Members formal standing in platform governance, to create canonical records of cooperative decisions, and to operationalize the principle that the Liana Banyan Platform is owned and directed by its Members.
Article II — Membership and Standing
Section 2.1 — All current Liana Banyan Members hold standing in the Pnyx.
Section 2.2 — Standing is conferred by active Membership ($5/year). Standing lapses when Membership lapses. Standing is restored upon renewal.
Section 2.3 — No Member holds more than one vote regardless of tenure, contribution level, or role.
Article III — Proposals
Section 3.1 — Any Member with standing may submit a Proposal.
Section 3.2 — Proposals must be specific, actionable, and cross-referenced to at least one Sweet Sixteen initiative or platform function.
Section 3.3 — A Member may not have more than one active Proposal in deliberation simultaneously.
Article IV — Deliberation
Section 4.1 — Every Proposal enters a deliberation window of not less than seven (7) days.
Section 4.2 — All responses during deliberation are logged to the substrate with timestamp and Member credential (anonymized in public view).
Section 4.3 — The proposing Member may revise the Proposal once during the deliberation window.
Article V — Voting
Section 5.1 — Following deliberation, eligible Proposals enter a voting window of seven (7) days.
Section 5.2 — Every Member with current standing may cast one vote per Proposal.
Section 5.3 — Voting is anonymous. Every Member may request a cryptographic receipt confirming their vote was counted without revealing its content.
Article VI — Canon Record
Section 6.1 — Every decision of the Pnyx is assigned a canonical Decision Number (format: PNX-NNNN) and logged to the Liana Banyan substrate.
Section 6.2 — The canonical record is permanent, append-only, and publicly accessible.
Section 6.3 — Decisions of the Pnyx are advisory to the Founder during the platform’s formative period. Full binding authority transfers to the Member cooperative upon platform maturity (threshold defined by Founder and Member consensus).
Article VII — Amendments
Section 7.1 — This Charter may be amended by a Proposal that achieves 75% approval in the voting window.
Section 7.2 — All amendments are logged to canon with the prior text preserved in the substrate record.
